Terms Of Use

1. ACCEPTANCE OF TERMS

These Terms of Use (“Terms”) govern access to and use of SurveyReady365™ (the “Platform”), operated by Abastyan™ (“Abastyan,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not access or use the Platform.

These Terms apply to all users, including administrators, managers, staff, and any other authorized workforce members of an enrolled facility.

2. DESCRIPTION OF THE PLATFORM

SurveyReady365™ is a subscription-based operational readiness platform designed to support CMS-certified nursing facilities in reinforcing consistent, accurate, and well-understood daily practices aligned with how regulatory oversight occurs.

The Platform provides:

• Educational materials
• Operational readiness tools
• Workflow reinforcement resources
• Oversight awareness frameworks

SurveyReady365™ is not a compliance, legal, consulting, auditing, or assessment service.

3. SCOPE LIMITATIONS

SurveyReady365™ does not:

• Provide legal advice, regulatory interpretation, or compliance determinations
• Interpret federal or state regulations, Conditions of Participation, or survey guidance
• Replace or supplement legal counsel, compliance officers, consultants, or auditors
• Review, approve, or validate facility policies, procedures, documentation, or care plans
• Prepare or review Plans of Correction, survey responses, or regulatory submissions
• Conduct audits, mock surveys, inspections, or certifications
• Perform cybersecurity, technical, IT, or vendor risk assessments
• Review contracts, Business Associate Agreements, or vendor legal terms
• Guarantee survey, inspection, or enforcement outcomes

The Platform does not instruct or encourage misrepresentation of care, documentation, conditions, or facility practices.

3a.  INTENDED USE AND AUDIENCE

SurveyReady365™ is intended for use by CMS-certified nursing facilities and their authorized workforce members as part of facility-led operational readiness activities.

The Platform is designed to support leadership-directed reinforcement of consistent daily practices and oversight awareness. It is not intended for individual certification, credentialing, or independent compliance determination.

Use of the Platform outside its intended scope is prohibited.

4. USER RESPONSIBILITIES

Facilities and their authorized users remain solely responsible for:

• Regulatory compliance decisions and interpretations
• Clinical judgment and care delivery
• Documentation accuracy and completeness
• Incident reporting and disclosure obligations
• Survey response strategies and corrective action planning
• Oversight of workforce conduct, vendors, and systems

Use of the Platform does not transfer or reduce these responsibilities.

5. NO PROFESSIONAL RELATIONSHIP

Use of SurveyReady365™ does not create a legal, clinical, compliance, consulting, fiduciary, or advisory relationship between Abastyan™ and any facility or user.

6. SUBSCRIPTIONS AND PRICING

Subscriptions are licensed per facility, not per individual.

• Pricing applies per licensed facility enrolled
• Unlimited internal users are permitted only for the enrolled facility’s workforce
• Subscriptions may be canceled at any time per the pricing terms in effect at enrollment
• Annual subscriptions provide extended access as described at purchase

Abastyan™ reserves the right to modify pricing with notice for future subscription periods.

7. ACCEPTABLE USE

Users agree not to:

• Upload or enter Protected Health Information (PHI)
• Use the Platform for unlawful or unauthorized purposes
• Misrepresent affiliation or authority
• Share access outside the enrolled facility workforce
• Attempt to reverse engineer or disrupt the Platform

Abastyan™ may suspend or terminate access for violations of these Terms.

8. INTELLECTUAL PROPERTY

All Platform content, materials, tools, text, and frameworks are the exclusive property of Abastyan™ and are protected by applicable intellectual property laws.

Users are granted a limited, non-transferable, non-exclusive license to use Platform materials internally for the enrolled facility’s operational readiness purposes only

9. DISCLAIMER OF WARRANTIES

SurveyReady365™ is provided “as is” and “as available.”

Abastyan™ makes no warranties regarding:

• Compliance outcomes
• Survey results
• Accuracy of regulatory interpretation
• Fitness for a particular purpose

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Abastyan™ shall not be liable for any indirect, incidental, consequential, or punitive damages arising from use of the Platform.

Total liability shall not exceed the subscription fees paid for the affected facility during the twelve (12) months preceding the claim.

11. TERMINATION

Abastyan™ may terminate or suspend access for violation of these Terms. Upon termination, access to Platform content ceases.

12.GOVERNING LAW

These Terms are governed by the laws of the State of Deleware without regard to conflict-of-law principles.
